GENERAL TERMS AND CONDITIONS OF SALE
These general terms and conditions of sale and service govern the supply by Distri-Coutale of sommelier knives, whether personalized or not, through its online sales service. Placing an order with Distri-Coutale implies acceptance of these general terms and conditions of sale and service and the customer's waiver of any conflicting clauses in their legal and commercial documents. Any modification to these terms and conditions is subject to the express written agreement of Distri-Coutale.
Consequently, the reciprocal commitments of the parties result solely from the following documents, which constitute each sales contract:

• These general terms and conditions of sale
• The customer's order was accepted by Distri-Coutale.

Each sales contract will take effect upon tacit or express acceptance by Distri-Coutale of the order sent by the Customer.

1. Price

Product prices are shown in Euros, inclusive of all taxes but excluding processing and shipping fees. For all products shipped outside the European Union and French overseas departments and territories (DOM-TOM), the price will be automatically calculated excluding taxes on the invoice. Customs duties, other local taxes, import duties, or state taxes may be applicable. These duties and amounts are not the responsibility of Distri-Coutale.
All orders, regardless of origin, are payable in Euros. Distri-Coutale reserves the right to modify its prices at any time, but products will be invoiced based on the rates in effect at the time the order is registered, subject to availability.

2. Order
The customer selects the products they wish to order on the website. Payment is made online. The order is confirmed by email, specifying the items ordered, the order amount, and the delivery address. The order will be shipped no later than 30 days after receipt of payment.
The order which is subject to a launch of production of personalized products and/or created by Distri-Coutale can only be carried out by the latter after written acceptance of the Good to Print by the customer sent by fax or by email containing the signed BAT document.

3. Validation

The validation of the order by the customer constitutes acceptance without reservation of these general terms and conditions of sale.

4. Availability

Product offers are valid while supplies last. In the event of a stock shortage, Distri-Coutale will inform the customer. The customer will then have the option to cancel their order by email and will be refunded as soon as possible by Distri-Coutale. The customer will also have the option to request a replacement of the ordered products with other products.
If replacements are requested for out-of-stock products, a new quote will be issued. Two scenarios are then possible:

• either the products are cheaper than the out-of-stock products: Distri-Coutale will then send a credit note corresponding to the difference to the customer.
• If the replacement products are more expensive than the out-of-stock products: the customer must then validate this difference in writing before launching the order and send payment.

5. Delivery

The products are sent to the delivery address provided by the customer during the order placement process. The delivery time includes the time required to prepare the package and the shipping time.
The order will only be processed after payment confirmation.

6. Shipping Costs

For deliveries within mainland France, shipping costs are included in the product price (excluding wine), ex-warehouse Distri-Coutale. For shipments outside France, a flat-rate shipping cost is applied based on the delivery location and shown to the customer on the invoice. The customer must then confirm this difference in writing before placing the order and send payment. For wine (shipments within France), shipping costs vary depending on the order amount. Note: Shipping wine outside mainland France to private individuals is not possible.

7. Payment

Only online payment is possible by following the order placement process on the website. Transactions are carried out in a secure environment using SSL encryption.

8. Transfer of ownership, transfer of risks

Ownership and risk transfer upon delivery of the goods, provided payment has been received. The goods must be inspected by the customer upon delivery. Any issues must be reported to Distri-Coutale's sales department within 48 hours of the delivery date.
Distri-Coutale will be the sole owner of the intellectual property rights that may result from, compose or derive from these creations, rights recognized by the French Intellectual Property Code and international conventions.

9. Right of withdrawal

The customer has a 7-business-day withdrawal period from the date of delivery to return products to Distri-Coutale for exchange or refund, provided the products are returned in their original packaging and in perfect condition. Before returning any product, the customer must contact Distri-Coutale's sales department. Return shipping costs are the responsibility of the customer.

10. Guarantees

The delivered products benefit from a 10-year guarantee against all hidden defects arising from a flaw in material, design or manufacturing that renders them unfit for their intended use.
All warranties are excluded in case of misuse, negligence or poor maintenance by the customer.
Distri-Coutale will replace products deemed defective.
The products sold on this website comply with current French regulations. The seller will not be held liable for any delays resulting from force majeure.

11. Applicable Law – Disputes

These terms and conditions of sale are governed by French law. In the event of a dispute, only the French courts shall have jurisdiction.

12. Data Protection and Privacy

In accordance with law no. 78-17 of 6 January 1978, amended by the law of 6 August 2004 under number 1372752, it is noted that the personal data requested from the customer is necessary for the processing of his order and is intended for internal use by Distri-Coutale.
The customer therefore has a right of access, modification, rectification and objection under the conditions provided by law.
